Your access to and use of the Website is subject to the following terms of use (the “Terms”). Please read these Terms carefully before using the Website. If you do not agree with these Terms, please do not access or use the Website. By accessing or using the Website, you agree to be bound by these Terms.

No Lawyer-Client Relationship

If you wish to retain NextCap Venture Law, you may initiate the engagement process by contacting us through the Website. A lawyer-client relationship will not be established until after we complete our intake process, which includes confirming the absence of any conflicts of interest, verifying your identity, and entering into an engagement letter that expressly sets forth our agreement to represent you.

Confidentiality of Communications

Unless you are already a client of NextCap Venture Law, we do not guarantee the confidentiality of any communications made by you via email, phone, or any other means through the Website. Unsolicited information and materials submitted through the Website may not be treated as confidential or protected by lawyer-client privilege.

Jurisdiction

These Terms and any related actions shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflicts of law principles. You hereby irrevocably attorn to the exclusive jurisdiction and venue of the courts sitting in Toronto, Ontario.

General

These Terms, together with any documents referenced herein, including our Privacy Policy and any engagement letter that we enter into with you, constitute the entire agreement between us and you regarding the subject matter herein. Our failure to insist on or enforce the strict performance of any provision of these Terms shall not be construed as a waiver of any provisions or rights. If any provision of these Terms is found to be void, invalid, or otherwise unenforceable by a court of competent jurisdiction, such determination shall not affect the validity of the remaining provisions contained herein.
